These Terms of Service (“Terms”) govern your use of Woosho (“Woosho”, “we”, “us”, or “our”), including the Woosho website, mobile application, and related services (collectively, the “Service”).
By creating an account, accessing, or using Woosho, you agree to these Terms. If you do not agree with these Terms, you should not use the Service.
1. About Woosho
Woosho is a songwriting and lyric-writing application designed to help artists and writers organise, develop, and work with their lyrics and songs.
Woosho may provide features including:
- Creating and storing songs and lyrics
- Organising lyrics into bars or sections
- Writing and editing tools
- Rhyme and word-finding tools
- AI-powered songwriting assistance and feedback
- Song analysis and feedback
- Verse-generation or writing assistance
- Offline access to certain content
- Subscription-based premium features
- Promotional codes, trials, and referral rewards
Features may change over time as we improve Woosho.
2. Eligibility
You must be legally permitted to use the Service in your country.
If you are under the age required to enter into a binding contract where you live, you may only use Woosho with the involvement and permission of a parent or legal guardian where required by applicable law.
By using Woosho, you confirm that you meet the applicable eligibility requirements.
3. Your Account
Some features require you to create an account.
You are responsible for:
- Providing accurate information when creating your account
- Keeping your login information secure
- Maintaining the security of your account
- All activity carried out through your account
You must not share your account in a way that allows another person to access paid features or otherwise misuse the Service.
If you believe someone has accessed your account without permission, you should contact us as soon as possible.
4. Your Lyrics and Content
You retain ownership of the lyrics, songs, writing, recordings, text, and other content that you create or upload to Woosho (“Your Content”), subject to any rights belonging to third parties.
Woosho does not claim ownership of Your Content merely because you store or use it through the Service.
You are responsible for Your Content and must make sure that you have the necessary rights and permissions to upload, store, or process it through Woosho.
You must not upload or use content that:
- You do not have the right to use
- Infringes another person’s intellectual property rights
- Is unlawful
- Is fraudulent or deceptive
- Contains malicious software
- Violates applicable laws or regulations
- Abuses or interferes with the Service
5. AI Features
Woosho may provide artificial-intelligence-powered features that can analyse, generate, suggest, or provide feedback relating to your writing.
AI-generated results are provided as assistance and may be inaccurate, incomplete, unsuitable, or unexpected.
You are responsible for reviewing AI-generated material before using it.
You should not assume that AI-generated content is original, accurate, legally safe, or suitable for commercial release.
Woosho does not guarantee that AI-generated material will be unique or that it will not resemble material created by other users or generated elsewhere.
You remain responsible for deciding whether and how to use AI-generated suggestions.
6. Rhyme and Writing Tools
Woosho may provide rhyme suggestions, word suggestions, dictionaries, linguistic information, or other writing assistance.
These tools are intended to assist your creative process and do not guarantee that a suggested word, rhyme, phrase, or result is appropriate for your song, genre, language, audience, or intended meaning.
You are responsible for your final creative work.
7. Acceptable Use
You agree not to:
- Use Woosho for unlawful purposes
- Attempt to gain unauthorised access to Woosho or its systems
- Circumvent subscription, usage, or feature restrictions
- Manipulate, abuse, or exploit promotional codes, trials, referrals, or rewards
- Reverse engineer or attempt to extract source code from the Service except where permitted by law
- Interfere with the operation or security of Woosho
- Use automated systems to abuse the Service
- Attempt to access another user’s account or content
- Abuse AI or other Service resources
- Resell or commercially redistribute access to Woosho without our permission
We may take reasonable action against accounts that violate these Terms.
8. Free and Paid Features
Woosho may offer free features as well as paid subscription plans.
Paid plans may provide additional features, usage allowances, storage, AI functionality, or other benefits.
The features, limits, prices, and benefits associated with each plan may change over time.
Where applicable, your subscription entitlements are determined by Woosho’s subscription system and may be affected by your active subscription, promotional entitlement, trial, or other authorised offer.
9. Subscriptions and Payments
Certain Woosho features require a paid subscription.
Subscription prices and billing periods will be displayed before you purchase.
Subscriptions may be offered on a monthly or annual basis.
Where a subscription automatically renews, it will continue to renew until cancelled in accordance with the applicable payment platform’s cancellation process.
If you purchase a subscription through Apple, Google, or another third-party platform, payment, billing, renewal, cancellation, and refunds may be subject to that platform’s terms and policies.
Woosho does not control the billing systems of third-party platforms.
10. Promotional Codes, Trials and Referral Rewards
Woosho may provide promotional codes, free trials, referral rewards, bonus periods, or other promotional offers.
Promotional offers:
- May be limited to specific users
- May have an expiry date
- May only be used once
- May be subject to additional conditions
- May not be transferred, sold, or exchanged for cash
We may refuse, cancel, or limit a promotional benefit where we reasonably believe it has been obtained through abuse, fraud, manipulation, or a violation of these Terms.
Unless expressly stated otherwise, promotional benefits do not have a cash value.
11. Service Availability
We aim to keep Woosho available and reliable, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.
Woosho may occasionally be unavailable because of:
- Maintenance
- Updates
- Technical problems
- Third-party service outages
- Internet or network issues
- Security incidents
- Events outside our reasonable control
We may modify, suspend, or discontinue parts of the Service where reasonably necessary.
12. Offline Features and Device Storage
Woosho may allow certain content or functionality to be stored locally on your device for offline use.
You are responsible for maintaining appropriate backups of important creative work.
Offline copies may become unavailable, outdated, or deleted if you uninstall the application, clear application data, change devices, or experience device failure.
Where Woosho provides cloud synchronisation or account-based storage, the availability of that content is subject to the Service’s operation and your account status.
For important creative work, we recommend maintaining an independent backup.
13. Intellectual Property
Woosho and its software, branding, logos, designs, interfaces, features, text, graphics, and other materials provided by Woosho are owned by or licensed to Woosho and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or commercially exploit Woosho or its proprietary materials.
These Terms do not transfer ownership of Woosho’s intellectual property to you.
14. Third-Party Services
Woosho may rely on third-party services to provide certain functionality, including hosting, authentication, payments, analytics, AI services, or other technical infrastructure.
Third-party services may have their own terms and privacy policies.
We are not responsible for services that are controlled by third parties, although we will take reasonable steps to maintain the functionality of Woosho.
15. Account Suspension and Termination
You may stop using Woosho at any time.
We may suspend or terminate your account if:
- You materially breach these Terms
- You misuse or abuse the Service
- You engage in fraudulent or unlawful activity
- Your use creates a security risk
- We are required to do so by law
- Continued provision of the Service is no longer reasonably possible
Where appropriate, we may provide notice before taking action.
Termination may result in the loss of access to your account and associated content, subject to applicable law and our data retention obligations.
16. Disclaimers
Woosho is provided on an “as available” and “as is” basis to the extent permitted by law.
We do not guarantee that:
- Woosho will always meet your requirements
- The Service will always be available
- AI-generated results will be accurate or appropriate
- Rhyme or writing suggestions will be correct
- Your content will never be lost or corrupted
- The Service will always operate without errors or interruptions
Nothing in these Terms excludes or limits any rights or protections that cannot legally be excluded under applicable law.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Woosho will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from your use of the Service.
This includes, where legally permitted, losses relating to:
- Loss of profits
- Loss of business
- Loss of opportunity
- Loss of data
- Loss of creative work
- Service interruption
Nothing in these Terms limits liability that cannot legally be limited or excluded.
18. Your Responsibility for Your Content
You are responsible for ensuring that your lyrics, songs, uploads, prompts, and other content comply with applicable law and do not infringe the rights of others.
If you use Woosho to develop commercially released music, you are responsible for making your own decisions regarding copyright, publishing, licensing, sampling, songwriting credits, and other legal matters.
Woosho is a creative tool and does not provide legal advice.
19. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we may provide reasonable notice through Woosho, our website, or another appropriate method.
Your continued use of Woosho after updated Terms become effective means that you accept the updated Terms.
20. Governing Law
These Terms are governed by the laws applicable in England and Wales, except where applicable consumer protection laws provide you with mandatory rights that cannot be excluded.
Nothing in these Terms prevents you from relying on mandatory consumer protections available in your place of residence.
21. Apple App Store Terms
If you access Woosho through Apple’s App Store, you acknowledge that these Terms are between you and Woosho and not Apple.
Apple is not responsible for Woosho, its content, maintenance, support, or warranties, except as required by applicable law.
Your use of Woosho through Apple’s App Store is also subject to Apple’s applicable terms and rules.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions relating to the App Store.
